1. Introduction
These Terms and Conditions (“Terms”) govern your access to and use of the AssureLens website at https://assurelens.tech and the AssureLens platform, including all related features, tools, and services (collectively, the “Service”). AssureLens is an agentic AI platform for operational planning, risk management, and decision intelligence in the energy industry.
AssureLens is developed and operated by SwarmLens (operating under Aatoon Solutions LLP) (“we,” “our,” or “us”). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree, please do not use the Service.
These Terms work alongside our Privacy Policy, which explains how we handle your data. For enterprise clients, these Terms are supplemented by your individual service agreement, which takes precedence in case of any conflict.
2. Definitions
- “Client Data” means any documents, datasets, well programs, operational reports, AFE documents, risk registers, lessons learned, and other proprietary or confidential information you provide to us in connection with the Service.
- “Agent Data” means operational data generated by our agentic AI systems during use, including reasoning traces, decision logs, inter-agent communications, retrieval queries, and execution records.
- “AI Outputs” means any content, analysis, risk assessments, recommendations, reports, planning packs, or other materials generated by the AssureLens platform, including outputs from AI agents, LLM integrations, and multi-agent workflows.
- “Platform” means the AssureLens agentic AI platform, including all modules such as Risk & Opportunity Agents, Action Tracking Agents, Lookahead Agent, Report Generation Agent, and any future capabilities.
- “User,” “you,” or “your” means any individual or organisation accessing or using the Service.
3. Eligibility and Accounts
3.1 Who Can Use the Service
The Service is designed for businesses and professionals in the energy and industrial sectors. To use the Service, you must be at least 18 years of age, have the legal capacity to enter into a binding agreement, and if acting on behalf of an organisation, have the authority to bind that organisation to these Terms.
3.2 Your Account
Some features require you to create an account. When you do, you agree to provide accurate and complete information and keep it current, keep your login credentials secure and confidential, take responsibility for all activity under your account, and notify us immediately at support@swarmlens.com if you suspect unauthorised access. We reserve the right to suspend or terminate accounts that violate these Terms.
4. The Service
4.1 What AssureLens Provides
AssureLens is an agentic AI platform that transforms unstructured operational data into structured, decision-ready outputs. The platform provides automated planning pack generation from project documents, AI-powered risk and opportunity identification with source citations, action tracking with automated status updates and accountability alerts, forward-looking plans integrating risk assessment and lessons learned, customised report generation from multiple data sources, workshop and collaboration support with pre-populated content, and human-in-the-loop validation by subject matter experts.
4.2 Service Availability
We work to keep the platform available and reliable, but cannot guarantee 100% uptime. The Service may be temporarily unavailable due to scheduled maintenance, technical issues, third-party service disruptions (including LLM providers and cloud infrastructure), or events beyond our control. For enterprise clients, specific uptime commitments may be detailed in your service agreement.
5. AI-Specific Terms
5.1 Nature of AI Outputs
AssureLens uses agentic AI systems, multi-agent orchestration, and Large Language Model integrations to generate outputs. It is important to understand that AI Outputs are provided as decision support tools, not as definitive answers, professional engineering advice, or guaranteed recommendations. AI Outputs may contain errors, inaccuracies, or hallucinations. You are responsible for independently verifying AI Outputs before making any business, operational, financial, or safety-critical decisions. AssureLens does not guarantee the accuracy, completeness, or reliability of any AI Output. The platform is designed to augment human judgement, not replace it. The final decision always rests with you and your qualified personnel.
5.2 Third-Party AI Services
The Service may integrate with third-party LLM providers (such as OpenAI, Anthropic, Google, and others), vector databases, and other AI infrastructure. Certain data may be transmitted to these providers as part of normal operation. Third-party services are subject to their own terms and limitations. We select providers based on enterprise-grade agreements that protect your data.
5.3 Responsible Use
You agree not to use the Service to generate content that is illegal, harmful, or violates the rights of others; to attempt to reverse-engineer our AI models, prompts, or agent architectures; to deliberately input malicious prompts or attempt prompt injection attacks; to use AI Outputs to mislead others by representing them as human-generated professional advice without disclosure; or to use the Service for any application that violates applicable laws or regulations.
6. Intellectual Property
6.1 Our Intellectual Property
SwarmLens and its licensors own all rights in the AssureLens platform, AI models, agent architectures, software, tools, methodologies, and branding. Your use of the Service grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose during the term of your agreement.
6.2 Your Data
You retain full ownership of your Client Data. By providing Client Data, you grant us a limited licence to use, process, and store it solely to deliver the Service. This licence terminates when our engagement ends and your data is deleted or returned.
6.3 AI Output Ownership
AI Outputs generated through your use of the platform using your Client Data are considered your property. However, we make no representations regarding the intellectual property status of AI Outputs under any jurisdiction. It is your responsibility to assess the suitability and legal standing of AI Outputs for your intended use.
7. Payment Terms
7.1 Fees
Pricing varies depending on the scope and nature of your engagement. Specific fees, payment schedules, and billing terms will be outlined in your service agreement or subscription plan. All fees are exclusive of applicable taxes unless otherwise stated.
7.2 Payment
Invoices are due within the timeframe specified in your agreement. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law. We reserve the right to suspend the Service for accounts with overdue payments after reasonable notice.
7.3 Third-Party Costs
Some features involve third-party costs such as LLM API usage fees or cloud infrastructure costs. Where these are passed through, they will be identified in your agreement.
8. Confidentiality
8.1 Our Commitment
We treat all Client Data and confidential business information as strictly confidential. We will not disclose it except as necessary to deliver the Service, with your written consent, or as required by law.
8.2 Your Commitment
Any confidential information we share with you — including details about our technology, agent architectures, or business operations — should be treated as confidential and not disclosed without our written consent.
9. Data Handling and Security
For full details, please see our Privacy Policy. In summary, your Client Data remains your property, we implement enterprise-grade security measures including encryption and access controls, we do not use your identifiable Client Data to train general-purpose AI models without explicit consent, and upon termination your data is securely deleted or returned.
10. Disclaimers
10.1 Service Standard
We provide the Service with reasonable skill and care, in accordance with generally accepted industry standards for AI development.
10.2 Limitations
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We make no warranties regarding the accuracy or reliability of any AI Output, uninterrupted or error-free operation, fitness for any particular purpose, the continued availability of third-party AI providers, or that AI agent behaviour will always be predictable. AI technology is evolving rapidly, and certain limitations are inherent to the current state of the technology.
11. Limitation of Liability
11.1 Liability Cap
To the maximum extent permitted by law, our total aggregate liability for any claims arising from the Service shall not exceed the fees paid by you during the twelve months preceding the event giving rise to the claim.
11.2 Exclusion of Damages
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities. This includes damages arising from reliance on AI Outputs, decisions based on AI-generated recommendations, or failures of third-party services.
11.3 AI Risk Acknowledgement
You acknowledge that AI systems are probabilistic and may produce unexpected or inaccurate results. You bear responsibility for evaluating and validating AI Outputs before acting on them.
12. Indemnification
You agree to indemnify and hold harmless SwarmLens, Aatoon Solutions LLP, and their officers, directors, employees, and agents from claims arising from your use of the Service in violation of these Terms, your Client Data, your violation of any applicable law, decisions made based on AI Outputs without appropriate human verification, or your breach of confidentiality obligations.
13. Term and Termination
13.1 Duration
These Terms remain in effect while you use the Service.
13.2 Termination by You
You may stop using the Service at any time. For subscriptions, cancellation terms are in your plan.
13.3 Termination by Us
We may suspend or terminate access if you breach these Terms and fail to cure within 15 days of notice, engage in harmful or illegal conduct, or it is required by law.
13.4 After Termination
Your right to access ends immediately. We will securely delete or return your Client Data per our Privacy Policy. Sections on intellectual property, confidentiality, limitation of liability, and indemnification survive termination.
14. Dispute Resolution
14.1 Informal Resolution
If a dispute arises, please contact us at legal@swarmlens.com. We will engage in good faith to find a resolution within 30 days.
14.2 Formal Resolution
If informal resolution fails, disputes will be submitted to binding arbitration. The arbitration will be conducted in English.
14.3 Governing Law
These Terms are governed by the laws of India, without regard to conflict of law principles, unless a different jurisdiction is specified in your service agreement.
15. General Provisions
Entire Agreement: These Terms, our Privacy Policy, and any applicable service agreement constitute the entire agreement between you and SwarmLens regarding the Service.
Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
Waiver: Our failure to enforce any provision does not constitute a waiver.
Assignment: You may not assign your rights without our consent. We may assign ours without restriction.
No Agency: Nothing in these Terms creates a partnership, joint venture, or agency relationship.

16. Changes to These Terms
We may update these Terms to reflect changes in our Service, technology, or applicable law. Material changes will be posted on this page with an updated date. Continued use after changes constitutes acceptance.
